Tim Chang is a partner in the Firm's Los Angeles office. Mr. Chang’s clients range from multinational public companies to medium and small privately held companies as well as individuals with high net worth.

Mr. Chang reads, writes and speaks fluent Chinese, which he frequently uses in his practice to assist clients on transnational transactions involving the People’s Republic of China, Taiwan, Hong Kong, and the U.S. He often serves the position of outside General Counsel for Asian clients with respect to their legal affairs in the U.S., including coordination of litigation and supervision of intellectual property matters. He has written several journal articles related to "doing business" in Vietnam and China and legal status of Taiwan in the U.S. Courts published in the Los Angeles Business Journal, World Journal (Chinese American newspaper), Transnational Corporate Lawyers, National Lawyers Magazine, Practical Law, Construction Magazine and other publications.

Mr. Chang's practice focuses on business transactions/planning; mergers & acquisitions; corporate finance, real estate, dispute resolution and cross-border wealth planning. Some examples of his work include:

Mergers and Acquisitions

Represents various Asian electronic, software, medical device and food companies in acquisition of U.S. companies pursuant to either stock purchase or asset purchase transaction, including acquisition of assets from bankrupt or financially distressed companies.

Corporate Governance/Disputes

Counsels companies and their boards of directors and officers on corporate governance best practices, including oversight and fiduciary responsibilities, board and committee structure and internal or independent investigations and minority vs. controlling shareholders disputes/litigation.

Insolvency and Financial Solutions

Advises companies and creditors on pre-bankruptcy petition rights and remedies and alternatives to bankruptcy filing, including multi-jurisdictional concerns.

Start-Up and Venture Capital Investment

Represents start-up companies in all phases of fund raising, including Preferred Stock financing, strategic alliance financing and bridge financing.

Real Estate

Extensive experience in real estate, including commercial and industrial lease, acquisition and sale of shopping centers, lands and office skyscraper. He represents borrowers in loan workout, financing structure and litigation.

Cross Border Wealth Planning

Services U.S. clients with foreign wealth planning objectives and foreign clients with U.S. investments’ estate planning objectives.

Nonprofit Organizations

Special focus in matters of nonprofit organization and represents several charities, churches, Buddhist temples, foundations and mutual benefit associations in matters of formation, tax exemption and compliance, estate planning programs and dealings with the United Nations as an NGO.
