Gary L. Wollberg
Gary L. Wollberg is a partner in the Firm’s San Diego office whose practice areas include corporate and securities law, mergers and acquisitions, healthcare, and finance.
In the area of corporate and securities law and finance, Mr. Wollberg represents issuers in public and private offerings of equity and debt securities, and broker/dealers acting as private placement agents for both established and start-up companies. He assists issuers in complying with federal and state securities regulations, including reporting requirements, proxy contests, tender offers, and exchange offers for public companies. He also represents issuers and broker/ dealers in investigations before the Securities and Exchange Commission and the Financial Industry Regulatory Authority.
In the mergers and acquisition area, Mr. Wollberg represents buyers and sellers of companies in the negotiation, documentation and closing of mergers and of sales and purchases of equity securities and assets, equity and debt financing and credit facilities, secured transactions, executive and workforce employment, and technology transfers.
In the healthcare field, Mr. Wollberg represents hospitals with integrated delivery systems, skilled nursing facilities, medical groups and IPAs with respect to corporate reorganizations, capital financing transactions, including mergers and acquisitions, spin-off reorganizations, asset and stock sales, joint ventures, management services, general corporation and noncompetition issues.
Mr. Wollberg maintains a special experience in matters of nonprofit organizations, providing counsel on corporate governance and member relations, federal and state tax compliance, capital financing and mergers, acquisitions and dissolutions for non-profit hospitals, colleges and universities, medical research institutes and arts organizations.
Mr. Wollberg's practice also includes many other aspects of general business law, including the registration, licensing and hypothecation of intellectual property; distributorship formation; and the formation, syndication and dissolution of partnerships and limited liability companies.
Published court decisions in which Mr. Wollberg appeared as counsel include McCoy v. Gustafson (2009) 180 Cal. App. 4th 56; Narstadt v. Lakeside Village Condominium Assn. (1994) 8 Cal.4th 361; Pacific Scene, Inc. v. Penasquitos, Inc. (1988) 46 Cal.3d 407; Dolan-King v. Rancho Santa Fe Association (2000) 81 Cal.App.4th 965; and Clark v. Rancho Santa Fe Association (1989) 216 Cal.App.3d 606.
Mr. Wollberg is the author of “Directors and Officers” (Chapter 9) and “Members and Other Interested Persons” (Chapter 10), of Advising California Nonprofit Corporations, 3rd Ed., CEB, 2010). He also authored "Tax Exempt Status of Nonprofit Organizations" (Chapter 24) appearing in California Transactions Forms (Bancroft-Whitney 1996) and served as consultant for California Civil Practice: Business Litigation, “Issuance of Shares” (Chapter 6) and “Secured Transactions” (Chapter 46) (Bancroft-Whitney 1992). Mr. Wollberg is the author of "Post Dissolution Claims Against Corporations: Penasquitos Gives Little Comfort to Creditors," California Business Law Reporter, Vol. 3, No. 3, (CEB October 1991). Mr. Wollberg has served as a speaker in the California Continuing Education of the Bar programs on Recent Developments in Business Law (1992-2010) serving as Moderator of the programs from 1995 through 2003; he has also spoken on commercial lease enforcement (1990-1991.
Community
Mr. Wollberg was a panelist for a presentation given at the annual State Bar Convention held August 19, 2017 in San Diego, California. The presentation, titled “Top 10 Landmines Lawyers Can Trigger when Advising Nonprofit Organizations”, reviewed common pitfalls which lawyers encounter when advising in the creation and operation of nonprofit corporations.
