Andrew Muhlestein is a Senior Associate in the firm’s Virginia office, where he provides strategic counsel to clients across a wide range of matters including corporate law, commercial leasing, employment issues, regulatory compliance, real estate transactions and U.S. Tribal gaming.

In his corporate practice, Mr. Muhlestein supports clients through all stages of the business lifecycle. He drafts foundational governance documents, maintains corporate formalities, revises commercial contracts, navigates lending arrangements, and oversees restructuring initiatives. For new clients, he often updates records of board and shareholder actions, clarifies stockholder and member rights, and advises on both state and federal registration and licensing requirements. He regularly counsels boards on equity-related matters such as stock and option issuances, net profits interests, and stock splits.

In employment law, Mr. Muhlestein counsels employers on workplace policies, independent contractor classifications, employee handbooks, ADA accommodations, and severance matters. He has counseled clients regarding discrimination claims, including submitted filings to the EEOC and assisting with court and arbitration proceedings. He also advises executives and employees on employment agreements, workplace transitions, and conflict resolution.

His real estate practice includes representing buyers and sellers in transactions—including 1031 exchanges—resolving title issues in partnership with title agents, drafting deeds, and managing closings. He advises both landlords and tenants in commercial leasing matters and has experience forming and governing commercial condominium projects. Notably, he led the effort for consolidation of condominium complexes under Virginia’s updated Condominium Act and regularly addresses audits and disputes involving common area maintenance charges.

Recognized as a trusted authority in U.S. Tribal gaming law, Mr. Muhlestein has advised gaming equipment manufacturers on regulatory compliance, jurisdictional expansion, licensing with tribal and state authorities, and engagement with Tribal regulatory bodies.

Mr. Muhlestein’s compliance practice spans several highly regulated industries. He has guided investment advisors through SEC filings and regulatory examinations and has advised clients on compliance with healthcare, securities, promotional contest, and gambling regulations—both tribal and federal.
