David C. Wright recently completed representation of an ESOP trustee in connnection with the ESOT's sale of its minority-interest shares to a third-party purchaser, incidental to the third-party acquisition of 100% of the outstanding shares of the company's stock.  The representation involved advice and counsel concerning fiduciary issues, primarily with respect to terms, conditions and covenants set forth in the sale agreement and related documents.
