Business Acquisitions and Sales:  Represents clients in stock and asset sales and purchases. Includes advising on the structure of the transaction, preparing required documentation, coordinating with local counsel in other jurisdictions, and preparing and coordinating filing of required federal and state notifications. Extensive experience in the purchase and sale of closely held food manufacturers and distributors.

Antitrust:  Represents clients in analyzing the potential antitrust consequences of acquisitions, distribution agreements, and other business transactions.

Corporate:  Represents clients in all phases of corporate work, including formation and continuing representation of corporations and other business entities, mergers, advising boards of directors, preparing buy-sell agreements, and advising majority or minority shareholders in disputes.

Financing:  Represents borrowers and lenders, including multinational corporations and financial institutions, in negotiating loan agreements for secured and unsecured loans. Does due diligence and prepares loan documentation.

Manufacturing and Supply Agreements:  Extensive experience in representing manufacturers and distributors in negotiating distribution agreements and brokerage agreements.

International Business Counseling:  Represents Latin American clients with U.S. holdings and operations. Provides analysis of tax considerations for doing business in the U.S. as well as general business structure and operational advice.

Securities:  Assists clients in preparing private placement memoranda and in complying with federal and state securities laws.

Real Estate:  Represents clients in connection with the purchase, sale or lease of real property.

Licensing:  Represents clients in U.S. and international intellectual property licensing transactions.

Banking:  Represents clients in the formation of new banks.

Environmental:  Represents clients in dealings with environmental agencies.
